4. No Guarantee of Results

KORVA Systems provides automation, operational efficiency, and AI-related services designed to improve workflows and support business performance. However, we do not guarantee any specific outcome, including but not limited to:

  • Revenue increases

  • Cost savings

  • Lead generation results

  • Search engine rankings

  • Conversion improvements

  • Time savings

  • System compatibility across all third-party platforms

Business outcomes depend on many factors outside our control, including client implementation, existing systems, staff adoption, market conditions, third-party platforms, and data quality.

5. Client Responsibilities

You agree to provide accurate, complete, and timely information reasonably necessary for us to provide services.

You are responsible for:

  • Providing necessary access to systems, platforms, accounts, and personnel

  • Ensuring you have the legal right to share any data, credentials, materials, or content with us

  • Reviewing and approving deliverables in a timely manner

  • Maintaining backups of your own critical systems and business data unless otherwise agreed in writing

  • Using implemented solutions in compliance with applicable laws and regulations

  • Delays caused by missing information, approvals, or access may impact project timelines and deliverables.

6. Fees and Payment

Fees for services will be set forth in an applicable proposal, invoice, service agreement, or statement of work.

Unless otherwise stated in writing:

  • Payments are due according to the payment terms listed on the invoice

  • Late payments may be subject to a late fee of [12%] per month or the maximum amount allowed by law

  • We may suspend work or access to services for overdue accounts

  • All fees paid are non-refundable unless otherwise stated in writing

You are responsible for any taxes, duties, or government charges associated with your purchase of services, excluding taxes based on our net income.

6. Intellectual Property

Our Property

All content, materials, methods, frameworks, documentation, branding, website content, graphics, processes, and proprietary tools owned or developed by KORVA Systems remain our intellectual property unless otherwise agreed in writing.

Client Property

You retain ownership of the materials, content, business information, and data you provide to us.

Deliverables

Unless otherwise stated in writing, KORVA Systems grants you a limited, non-exclusive, non-transferable license to use the final deliverables we create for your internal business use after full payment has been received.

You may not resell, sublicense, reproduce, distribute, or commercially exploit our proprietary methodologies, templates, frameworks, or systems except as expressly authorized in writing.

8. Confidentiality

Each party agrees to treat confidential information disclosed by the other party as confidential and to use it only for purposes related to the services.

Confidential information does not include information that:

  • Is or becomes publicly available through no fault of the receiving party

  • Was already lawfully known by the receiving party

  • Is lawfully obtained from a third party without restriction

  • Is independently developed without use of the other party’s confidential information

We may use subcontractors or service providers as needed, provided they are subject to appropriate confidentiality obligations.

9. Data and AI Tools

KORVA Systems may use software, automation platforms, cloud systems, and AI-enabled tools to provide services. By using our services, you acknowledge and agree that:

  • We may process information you provide as necessary to deliver the services

  • You are responsible for ensuring you have the right to provide any data submitted to us

  • AI-generated or automated outputs may require human review and validation

  • You should not rely on automated outputs as the sole basis for legal, financial, compliance, medical, or other high-stakes decisions

  • Third-party tools and platforms may have their own terms, privacy policies, limitations, and risks

Unless expressly agreed in writing, we are not responsible for errors, outages, policy changes, model behavior, integrations, or service interruptions caused by third-party platforms.

To the fullest extent permitted by law, our total liability for any claim arising out of or related to the website or services shall not exceed the amount actually paid by you to KORVA Systems for the specific services giving rise to the claim during the [three (3)] months preceding the event giving rise to the claim.
